Property Specialists, Inc. (PSI) was the original management company for the Prestonfield HOA. PSI managed the association from at least the early post-Declarant period through at least October 2019, when Julie Maggio attended the October 10 Board meeting as PSI’s management representative. The original PSI contract ran 5/1/2017–4/30/2019; Addendum A (executed February 2019, received by PSI February 22, 2019) extended the contract through April 30, 2021. Fee under Addendum A: $5.25/unit/month (May 2019–April 2020) and $5.35/unit/month (May 2020–April 2021). Expenditure limit: $1,000 without prior Board consent (lower than API’s $1,500). Formal bids required for purchases exceeding $1,000. PSI was terminated on November 30, 2020 — PSI exercised its Paragraph 12 right to end the contract early (17 months before the April 30, 2021 expiry) due to Illinois licensing requirements. API’s Courtney O’Connor first appears in the record at the April 8, 2021 board meeting, placing the API transition window at December 1, 2020 – April 8, 2021.

Transition to API

On September 29, 2020, PSI CEO Cathy D. (CMCA, AMS, PCAM) sent a certified termination letter to Board President Mike Coker, invoking Paragraph 12 of the Management Agreement. PSI cited Illinois licensing requirements that made it impossible to staff all of their client associations. The letter provided 60 days’ notice from October 1, making the effective date midnight November 30, 2020.

This was PSI’s decision — the HOA did not terminate PSI. However, the HOA had already engaged API before receiving PSI’s termination letter: the API Management Agreement is dated September 1, 2020, with a term commencing November 1, 2020 — 28 days before PSI sent its letter and 30 days before PSI’s effective end date. A deliberate one-month overlap was built into the transition. API’s Courtney O’Connor first appears in meeting attendance at the April 8, 2021 board meeting.
